Terms of Use
These Terms of Use govern access to and use of Omniflow, the no-code AI workflow orchestration platform provided by Synergy Folks. Please read them carefully before using the platform.

These Terms of Use ("Terms") are a binding agreement between the entity or individual accessing or using Omniflow ("Customer," "you," or "your") and Synergy Folks ("Synergy Folks," "we," "us," or "our"), a company with its principal place of business at 2852 Demler Dr, Escondido, CA 92029. These Terms govern your access to and use of the Omniflow platform, including the Studio, Flow Engine, Scheduler Engine, Dashboards, Forms, and related services, APIs, documentation, and support (collectively, the "Service").
1. Acceptance of Terms
By creating an account, requesting or participating in a pilot, clicking "I agree," or otherwise accessing or using the Service, you accept these Terms on behalf of yourself or the organization you represent. If you do not agree to these Terms, do not access or use the Service. If a separate written agreement (such as a pilot agreement, master services agreement, order form, partner or reseller agreement, or data processing addendum) between you and Synergy Folks conflicts with these Terms, that separate agreement controls with respect to its subject matter.
2. Description of the Service
Omniflow is a no-code, API-led workflow orchestration platform that lets business and IT teams design, automate, and govern multi-step workflows connecting databases, applications, files, messaging systems, and AI models and agents through a single visual Studio. The Service may include, without limitation:
- Flows — visual, multi-step workflow design and execution, including AI Model and AI Agent steps.
- Schedules — CRON-based scheduling for recurring and batch execution.
- Dashboards — real-time analytics generated from workflow activity.
- Forms — dynamic, conditional data-collection forms integrated with Flows.
- Admin & Security — user, role, license, single sign-on, environment, and audit-log management.
We may add, change, deprecate, or remove features of the Service from time to time. We will use commercially reasonable efforts to notify Customers of material changes that reduce core functionality they are actively relying on.
3. Accounts & Eligibility
You must be at least 18 years old and have the authority to bind your organization to use the Service. You are responsible for the accuracy of the information you provide when registering, requesting a pilot, or configuring an environment, and for maintaining the confidentiality of your account credentials and API keys. You are responsible for all activity that occurs under your account, and you agree to notify us promptly of any unauthorized use.
4. Pilots, Subscriptions & Fees
Access to Omniflow may be offered through a time-limited pilot (for example, a 30-day pilot built around a workflow from your own environment) or a paid subscription, as agreed in an order form, pilot agreement, or similar document referencing these Terms. Except as otherwise stated in that document:
- Pilots are provided for evaluation purposes and may be limited in scope, data volume, uptime commitments, and support.
- Fees for paid subscriptions are due as specified in the applicable order form and are non-refundable except as required by law or expressly stated in a written agreement.
- We may suspend or limit access for non-payment after reasonable notice.
- Taxes, if any, are the responsibility of the Customer unless otherwise stated.
5. License Grant & Restrictions
This is a license, not a sale, of the Service. Subject to these Terms and any applicable order form, Synergy Folks grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your pilot or subscription term, solely for your internal business purposes. No title or ownership interest in the Service, including its source code, underlying architecture, algorithms, or any component thereof, is sold or otherwise transferred to you under these Terms, and you receive no rights to the Service other than the limited right of access and use expressly granted in this Section. You may not, and may not permit others to: (a) reverse engineer, decompile, or attempt to derive the source code or underlying architecture of the Service, except to the extent such restriction is prohibited by applicable law; (b) resell, sublicense, rent, or lease the Service to a third party; (c) use the Service to build a competing product; (d) circumvent usage limits, license controls, or security features; or (e) use the Service in violation of applicable law or in a manner that could damage, disable, or impair the Service or interfere with any other party's use of it. This Section 5 governs your access to and use of the Service as a direct Customer. If you access the Service, our application programming interfaces, sample code, or documentation as an authorized reseller or integration partner, your rights and restrictions with respect to that access are instead governed by a separate written partner or reseller agreement between you and Synergy Folks, which controls over this Section 5 with respect to that access.
6. Customer Data & Content
"Customer Data" means the data, files, configurations, flow designs, and other content you or your authorized users submit to, or process through, the Service, including data read from or written to your connected databases, APIs, file systems, and messaging platforms. As between the parties, you retain all right, title, and interest in Customer Data. You grant Synergy Folks a limited license to host, process, and transmit Customer Data solely as necessary to provide and support the Service. You are solely responsible for having the necessary rights and consents to submit Customer Data to the Service, including any personal, health, or financial data processed by your flows, and for configuring role-based access, environments, and retention settings appropriate to that data.
Except as necessary to provide, secure, and support the Service for you, Synergy Folks will not use Customer Data to train or fine-tune any AI or machine-learning model, and will not use, share, or expose your Customer Data across other customers' environments, in each case without your prior written consent. This restriction does not apply to de-identified or aggregated data that does not identify you, your organization, or any individual, or to your interactions with third-party AI providers or tools you configure under Section 7, which are governed by that provider's own terms.
To the extent Synergy Folks processes personal data as a processor (or comparable role under applicable data protection law) on your behalf in connection with the Service, the terms of our Data Processing Addendum, available at contact@synergyfolks.com upon request, apply to that processing and are incorporated into these Terms by reference. In the event of a conflict between these Terms and the Data Processing Addendum with respect to the processing of personal data, the Data Processing Addendum controls.
7. AI Features & Third-Party AI Providers
Omniflow allows you to configure AI Model and AI Agent steps that may call third-party large language model ("LLM") providers you select or connect (for example, OpenAI, Anthropic, Google, or DeepSeek), your own private model, or MCP-compatible tools and servers. When you configure such a step, the relevant inputs are sent to the provider or tool you selected, subject to that provider's own terms, privacy practices, and data-handling policies, which are not controlled by Synergy Folks. You are responsible for choosing AI providers and MCP integrations appropriate for your data sensitivity and regulatory obligations.
AI-generated output — including summaries, extracted data, agent actions, and recommendations — may be inaccurate, incomplete, or unsuitable for a particular purpose. AI Agent steps are built with guardrails such as iteration limits, but autonomous or unattended AI actions carry inherent risk. You are responsible for reviewing AI-generated output before relying on it for clinical, financial, legal, compliance, or other consequential decisions, and for configuring human-in-the-loop review where appropriate.
8. Third-Party Services & Integrations
The Service can connect to third-party systems you configure, such as SQL and NoSQL databases, REST APIs, SFTP/SSH servers, messaging and streaming platforms, identity providers (including Google, Microsoft Entra ID, Salesforce, and GitHub for single sign-on), and other MCP-compatible tools. Synergy Folks does not control and is not responsible for the availability, security, or content of these third-party systems. Your use of any third-party service accessed through the Service is governed by that provider's own terms.
9. Security
Synergy Folks maintains administrative, technical, and physical safeguards designed to protect the Service, including role-based access control, single sign-on via OAuth2/OIDC, encrypted credentials and secrets, and transaction-level audit logging. No system is completely secure, and we cannot guarantee that unauthorized access, data loss, or service interruption will never occur. You are responsible for the security configuration of your own environment, credentials, and connected systems, and for promptly reporting any suspected vulnerability or incident to us at the contact address below.
10. Acceptable Use
You agree not to use the Service to: transmit unlawful, infringing, or malicious content; attempt to gain unauthorized access to any system or network; interfere with or disrupt the integrity or performance of the Service; process data in violation of applicable privacy or data-protection law; or use the Service to develop a product that competes with Omniflow. We may suspend access for activity that we reasonably believe violates this section or poses a security or legal risk, and will use reasonable efforts to notify you promptly.
11. Intellectual Property
The Service, including its software, Studio interface, documentation, and all related intellectual property, is owned by Synergy Folks and its licensors and is protected by applicable intellectual property laws. Except for the limited license granted in Section 5, no rights are granted to you by implication or otherwise. Feedback you voluntarily provide about the Service may be used by Synergy Folks without restriction or obligation to you.
12. Confidentiality
Each party may receive confidential or proprietary information of the other party in connection with the Service, including non-public product information, pricing, and Customer Data (each, "Confidential Information"). Each party agrees to use the other party's Confidential Information only as necessary to perform its obligations, and to protect it using at least the same degree of care it uses to protect its own confidential information of similar importance, but no less than reasonable care. Confidential Information does not include information that the receiving party can demonstrate was already known to it without restriction, is or becomes publicly available through no fault of the receiving party, is rightfully received from a third party without breach of confidentiality, or is independently developed without use of the disclosing party's Confidential Information.
These confidentiality obligations survive termination or expiration of these Terms for five (5) years from the date of disclosure, except that with respect to any Confidential Information that constitutes a trade secret under applicable law, these obligations survive for as long as the information remains a trade secret. Upon a party's written request following termination, the receiving party will promptly return or destroy the disclosing party's Confidential Information in its possession or control, except for copies retained in routine, automated backups or as required to comply with applicable law, which remain subject to these confidentiality obligations. Each party acknowledges that unauthorized use or disclosure of the other party's Confidential Information may cause irreparable harm for which monetary damages alone would be an inadequate remedy, and that the disclosing party may seek injunctive or other equitable relief, in addition to any other remedies available at law or in equity, to prevent or curtail any actual or threatened breach of this Section.
13. Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED IN A SIGNED WRITTEN AGREEMENT BETWEEN YOU AND SYNERGY FOLKS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SYNERGY FOLKS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE OR RELIABLE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNERGY FOLKS AND ITS OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNERGY FOLKS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SYNERGY FOLKS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE NOT PAID ANY FEES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
15. Indemnification
You agree to defend, indemnify, and hold harmless Synergy Folks and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Data; (b) your use of the Service in violation of these Terms or applicable law; or (c) your violation of any third party's rights.
16. Term & Termination
These Terms remain in effect for as long as you access or use the Service. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within a reasonable period after notice, or immediately if your use poses a security risk or legal liability to Synergy Folks or others. You may stop using the Service, and terminate a subscription, in accordance with the applicable order form. Upon termination, your right to access the Service ends, and we will handle any retained Customer Data in accordance with the applicable order form or, absent such terms, will make it available for export for a reasonable period and then may delete it. Sections that by their nature should survive termination (including Sections 11 through 15 and 17) will survive.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in San Diego County, California, and each party consents to the personal jurisdiction of those courts.
18. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Service or for legal, regulatory, or operational reasons. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice (such as an in-product notice or email to your account contact). Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
